UFL ST. PATRICK'S EVENT PENALTY CONTEST OFFICIAL RULES
Strikerz Inc. (a publishing brand of XTEN Limited, a company incorporated under the laws of Cyprus) sponsors and administers this promotion (the “Contest”).
By entering the Contest, each participant (“Participant”, “you”, “your” and “yours”) fully and unconditionally agrees to be bound by these rules, any amendments thereto, and the decisions of Strikerz Inc., which are final and binding in all respects (the “Rules”).
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER THE CONTEST.

Eligibility
The Contest is open to individuals:
- of 18 years of age or older (or the age of majority in your country of residence, whichever is older). If you are under 18 years of age (or the age of majority in your country of residence), you must seek your parent or legal guardian to read and accept these Rules before submitting your entry; and
- who are residents of the following countries: Argentina, Bolivia, Brazil, Canada, Chile, Colombia, Costa Rica, Ecuador, Egypt, El Salvador, Guatemala, Honduras, Mexico, Nicaragua, Panama, Paraguay, Peru, United States, Uruguay, Australia, Austria, Bahrain, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Finland, France, Germany, Greece, Hungary, Iceland, India, Ireland, Israel, Italy, Kuwait, Lebanon, Luxembourg, Malta, Netherlands, New Zealand, Norway, Oman, Poland, Portugal, Qatar, Romania, Russian Federation, Saudi Arabia, Slovakia, Slovenia, South Africa, Spain, Sweden, Switzerland, Turkey, Ukraine, United Arab Emirates and United Kingdom (the “Eligible Countries”); and
- who have an account in good standing with UFL video game in accordance with the End User License Agreement, and
- who have an account in good standing with Instagram, Facebook, or X (depending on chosen Channels of Entry), in each case in compliance with all applicable terms and conditions; and
- who fully and unconditionally agree and follow these Rules,
(together, the “Eligibility Requirements”).
Failure to meet any of the Eligibility Requirements shall render the individual ineligible to enter the Contest. Participation is void outside the Eligible Countries and where prohibited or restricted by law. Strikerz Inc. may require proof of residency and age and disqualify any entry if the Eligibility Requirements are not met or for other reasons if so required by law.
Notwithstanding anything to the contrary contained herein, the Contest is void where prohibited or restricted by law.

Contest Period
The Contest begins on 22 March 2025 at 09:00:00 UTC, or at the time of publication of the Contest Post (as defined in Section 3), whichever occurs later, and ends on 24 March 2025 at 21:59:59 UTC (the “Contest Period”).

Channels
On the first calendar day of the Contest Period and/or in a series of posts thereafter Strikerz Inc. will post an announcement and materials related to the Contest (“Contest Post”), or amendments thereto, on one or all of the following official social media channels:

(together, the “Channels”)

How to Enter the Contest
To enter the Contest, you must during the Contest Period:
- meet the Eligibility Requirements (as set out in Section 1 of these Rules);
- have Internet connection;
- submit a comment in the comment section of the Contest Post within one of the designated Channels (Instagram, Facebook, or X) suggesting a letter (e.g., "A", "B", "C", etc.) ("Letter Designation") depicted in the Contest Post and indicating possible penalty kick angles, which you believe corresponds to the Letter Designation predetermined (without prior public disclosure) by Strikerz Inc. as the penalty kick angle in the Contest Post;
(together, the “Entry”).
Each Participant is limited to one (1) Entry, irrespective of the Channel through which the Entry is submitted. In case of multiple Entries (i.e., more than one comment posted by the same individual and/or from the same account), Strikerz Inc. reserves the right, at its sole discretion, to consider only the first Participant’s Entry submitted via any given Channel as the valid Entry for purposes of the Contest.
Entries submitted after the Contest Period will not be considered.
Entries must be appropriate for all audiences. Entries must not contain any racial, religious or ethnic slurs, explicit language, obscene, pornographic, violent, or sexual content, libel, hate speech, references to alcohol, drugs or other illicit substances, or otherwise unlawful or inappropriate content, as determined by Strikerz Inc. in its sole discretion.

Prizes and Winners
The Contest includes one (1) type of prize: in-game digital content “Leprechaun Pack”, available during the Contest Period in the UFL game ("Prize").
The potential winners will be determined among the earliest (i.e., submitted before other Participants) Entries across all Channels with a suggestion of a Letter Designation corresponding to the Letter Designation predetermined (without prior public disclosure) by Strikerz Inc. as the penalty kick angle in the Contest Post.
The Contest includes thirty (30) Prizes for thirty (30) winners in total regardless the Channels.
The limit is one (1) Prize per one (1) winner.
If for any reason an advertised Prize is unavailable, Strikerz Inc. reserves the right to substitute a Prize of equal or greater value.
The Prizes are non-transferable, non-refundable, and no substitution of the Prizes for cash or other goods and services is permitted. The Prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, expressed or implied, except where prohibited by law.

Results Announcement and Delivery
On 25 March 2025, Strikerz Inc. will announce thirty (30) winners from all correct and eligible Entries received during the Contest Period. The Contest results will be published within the said timeframe in the comments section of each Contest Post on the relevant Channel.
The potential winners may be notified by direct messages to the Instagram, Facebook, or X account specified in the winning Entry. The potential winners may be required to make the account "open" or "publicly accessible," or to allow receiving messages from Channels on Instagram, Facebook, or X, so that Strikerz Inc. contacts the potential winners and requests any required documents or information.
The Prize will be credited to the potential winner's account in the UFL game. The winners may be asked to provide their personal details as described in Section 8 below to receive their Prize.
If Strikerz Inc. cannot contact a potential winner, or the potential winner refuses to accept the Prize, or fails to provide Strikerz Inc. with any requested documents or information within the required time period (not to exceed three (3) calendar days in total), such potential winner will be disqualified or considered ineligible, and the Prize will be forfeited or returned as undeliverable.
If a potential winner is disqualified or ineligible, or the Prize is forfeited for any reason, Strikerz Inc. will award that Prize in its sole discretion to an alternate winner from all remaining eligible Entries.

General
The decision of Strikerz Inc. is final and binding in relation to all matters relating to this Contest and may not be subject to any discussions or correspondence.
Strikerz Inc. reserves the right, at its sole discretion and to the maximum extent permitted by applicable law, to cancel, modify, extend or suspend the Contest and/or the Prize, including the right to vary or amend the amount or type of Prizes, and the Participant agrees that no liability shall attach to Strikerz Inc. as a result thereof.
To the maximum extent permitted by applicable law, Strikerz Inc. and its agents and/or commercial partners assume no responsibility and are not liable for: (i) the accuracy or otherwise of any Prize description or illustration; (ii) (where applicable) the non-availability, loss, late receipt or damage of any text or any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; (iii) (other than those warranties or conditions implied by the Rules and which cannot be excluded) any representation, warranty, condition or guarantee in respect of a Prize; (iv) any damage, loss, liabilities, injury or disappointment incurred or suffered by you accepting the Prize; or (v) any taxes, fees, charges or other costs which Participants may be required to pay in connection with a Prize. Nothing in these Rules shall be deemed to exclude or restrict any of your statutory rights as a consumer.
These Rules shall be construed and governed by the laws of the Republic of Cyprus, without regard to conflicts of laws principles. Unless otherwise provided by applicable mandatory rules of consumer protection law in your jurisdiction, you agree to the exclusive jurisdiction of the courts of Cyprus.
The invalidity or unenforceability of any provision herein shall not affect in any way the validity and enforceability of any other provision of these Rules.
This Contest is not sponsored, endorsed or administered by, or associated with Instagram, Facebook, and/or X. By participating in the Contest, each Participant hereby agrees to release and discharge Instagram, Facebook, and X from any and all liability, claims, demands, injuries, or damages of any kind arising out of or in connection with the Contest and/or these Official Rules.

The amount of League Points (LP) awarded as the prize shall be the numerical value of League Points (LP) indicated by winners in their Entry, subject to the Prize Threshold set out in the next paragraph ("Prize"). By way of example, if a Contest Post depicted 10,000 League Points (LP) and an Entry suggested 9,950 League Points (LP) depicted in the Contest Post, a winner would have received 9,950 League Points (LP).
The potential winners will be determined among the earliest (i.e., submitted before other Participants) Entries across all Channels with the closest suggested number of League Points (LP) to the actual number of League Points (LP) depicted in the Contest Post. The suggested number of League Points (LP) shall be equal to or less than the numerical value of League Points (LP) actually depicted in the Contest Post (“Prize Threshold”). Entries that specify a numerical value above the Prize Threshold will not be considered for the Prize. By way of example, if a Contest Post depicted 10,000 League Points (LP) and an Entry suggested 10,050 League Points (LP), the Prize Threshold would be 10,000 League Points (LP), and the Participant with the Entry presented would not be entitled to the Prize.

By way of example, if a Contest Post depicted 10,000 Credit Points (CP) and an Entry suggested 9,950 Credit Points (CP) depicted in the Contest Post, a winner would have received 99,500,000 Credit Points (CP).

On 17 March 2025, Strikerz Inc. will announce ten (10) winners from all correct and eligible Entries received during the Contest Period. The Contest results will be published within the said timeframe in the comments section of each Contest Post on the relevant Channel.
The potential winners may be notified by direct messages to the Instagram, Facebook, X, or TikTok account specified in the winning Entry. The potential winners may be required to make the account "open" or "publicly accessible," or to allow receiving messages from Channels on Instagram, Facebook, X, or TikTok, so that Strikerz Inc. contacts the potential winners and requests any required documents or information.
The Prize will be credited to the potential winner's account in the UFL game. The winners may be asked to provide their personal details as described in Section 8 below to receive their Prize.
If Strikerz Inc. cannot contact a potential winner, or the potential winner refuses to accept the Prize, or fails to provide Strikerz Inc. with any requested documents or information within the required time period (not to exceed three (3) calendar days in total), such potential winner will be disqualified or considered ineligible, and the Prize will be forfeited or returned as undeliverable.
If a potential winner is disqualified or ineligible, or the Prize is forfeited for any reason, Strikerz Inc. will award that Prize in its sole discretion to an alternate winner from all remaining eligible Entries.

The decision of Strikerz Inc. is final and binding in relation to all matters relating to this Contest and may not be subject to any discussions or correspondence.
Strikerz Inc. reserves the right, at its sole discretion and to the maximum extent permitted by applicable law, to cancel, modify, extend or suspend the Contest and/or the Prize, including the right to vary or amend the amount or type of Prizes, and the Participant agrees that no liability shall attach to Strikerz Inc. as a result thereof.

The invalidity or unenforceability of any provision herein shall not affect in any way the validity and enforceability of any other provision of these Rules.

By participating in the Contest, each Participant hereby agrees to release and discharge Instagram, Facebook, X, and TikTok from any and all liability, claims, demands, injuries, or damages of any kind arising out of or in connection with the Contest and/or these Official Rules.

Strikerz Inc. (a publishing brand of XTEN Limited, a company incorporated under the laws of Cyprus) sponsors and administers this promotion (the “Contest”).

who have ‘publicly-accessible’ or ‘open’ accounts (i.e. accounts the contents of which such as posts and/or comments may be accessed and/or otherwise viewed by us without having to obtain special rights or permissions) in good standing with Instagram, Facebook, X, YouTube, and/or Threads, depending on your social media preferences and Channels (as defined in Section 3 of these Rules) you follow, in each case in compliance with all applicable terms and conditions; and
who fully and unconditionally agree and follow these Rules,
(together, the “Eligibility Requirements”).
Failure to meet any of the Eligibility Requirements shall render the individual ineligible to enter the Contest. Participation is void outside the Eligible Countries and where prohibited or restricted by law. Strikerz Inc. may require proof of residency and age and disqualify any entry if the Eligibility Requirements are not met or for other reasons if so required by law.
Notwithstanding anything to the contrary contained herein, the Contest is void where prohibited or restricted by law. -
Contest Period
The Contest begins at 09:00:00 UTC on 28 December 2024 and ends at 21:59:59 UTC on 06 January 2025 (the “Contest Period”).

On or before the first calendar day of the Contest Period and/or in a series of posts thereafter Strikerz Inc. will post an announcement related to the Contest (or amendments thereto) on one or all of the following official social media channels:

How to Enter the Contest
To enter the Contest, you must during the Contest Period:
meet the Eligibility Requirements (as set out in Section 1 of these Rules);
have Internet connection;
record a video (not less than five (5) seconds) capturing a visually impressive football goal achieved within the UFL video game;
submit the recorded video by either (a) posting, publishing, or otherwise sharing it publicly on the Participant’s own social media account with Instagram, Facebook, X, YouTube, and/or Threads, ensuring proper identification of the Contest as specified in the Rules, and/or (b) posting a link to the recorded video published or otherwise shared publicly pursuant to paragraph (a) of this section in the comments section of the principal or other contest announcement post published on the Channels by Strikerz Inc.
Regardless of the method of submission, each entry must include the tag of Strikerz Inc.’s Channel you are posting on (e.g. @uflgame for Instagram or Facebook) and the hashtag #UFLGoalFest to be considered valid;
(together, the “Entry”).
You are permitted to publish any number of Entries you want. Entries submitted after the Contest Period will not be considered.
Entries must be appropriate for all audiences. Entries must not contain any racial, religious or ethnic slurs, explicit language, obscene, pornographic, violent, or sexual content, libel, hate speech, references to alcohol, drugs or other illicit substances, or otherwise unlawful or inappropriate content, as determined by Strikerz Inc. in its sole discretion.
No purchase or payment of any kind is necessary to enter the Contest. -
Prizes, Winners, and Delivery
The Contest includes one (1) type of prize: the “Field Glow Pack” in-game digital content (the “Prize”) as it is available during the Contest Period (approximate value EUR Ten (10)).
The Contest includes ten (10) Prizes for ten (10) winners in total.
The limit is one (1) Prize per one (1) winner.
If for any reason an advertised Prize is unavailable, Strikerz Inc. reserves the right to substitute a Prize of equal or greater value.
The Prizes are non-transferable, non-refundable, and no substitution of the Prizes for cash or other goods and services is permitted. The Prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, expressed or implied, except where prohibited by law.
On or before 21 January 2025 ten (10) winners will be selected at random (based on our sole and subjective judgement of coolness) from all correct and eligible Entries received during the Contest Period at the Strikerz Inc.’s own discretion. Prizes, Winners, and Delivery
The Contest includes one (1) type of prize - PlayStation®5 console Slim Digital Edition with specifications as determined by Strikerz Inc. in its sole discretion (approximate retail value – EUR 480, 00) (the “Prize”).
The Contest includes three (3) Prizes for three (3) winners in total. The limit is one (1) Prize per one (1) winner.
If for any reason an advertised Prize is unavailable, Strikerz Inc. reserves the right to substitute a Prize of equal or greater value.
Strikerz Inc. will cover the costs of Prize shipment. Winners will be solely responsible for the payment of any additional national, federal, state, local or other taxes of any kind in relation to any Prize.
The Prizes are non-transferable, non-refundable and no substitution of the Prizes for cash or other goods and services is permitted. The Prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, expressed or implied, except where prohibited by law.
During the period from 10 December 2024 to 11 December 2024 Strikerz Inc. will conduct a random drawing from all Entries and determine three (3) potential winners.
The Contest results will be published on 12 December 2024 in the comments section of each relevant post on the relevant Channel.
The potential winners will be notified on or around 12 December 2024 by direct message to the Instagram, Facebook or X account specified in the winning Entry.
The potential winners will have seven (7) calendar days from the day on which the Contest results have been communicated to them in a message from Strikerz Inc. to:
- confirm via direct message to Strikerz Inc. on the relevant Channel whether they accept the Prize; and
- provide Strikerz Inc. with a postal address and/or any other details required for the Prize delivery.
If Strikerz Inc. cannot contact a potential winner, or the potential winner refuses to accept the Prize, or fails to provide Strikerz Inc. with any requested documents or information within the required time period, such potential winner will be disqualified or considered ineligible, and the Prize will be forfeited or returned as undeliverable.
If a potential winner is disqualified or ineligible, or the Prize is forfeited for any reason, Strikerz Inc. will award that Prize in its sole discretion to an alternate winner from all remaining eligible Entries.
The Participants acknowledge and accept that delivery of the Prizes to certain destinations may be significantly hampered or impossible for reasons beyond Strikerz Inc. control.
In the event that the delivery address for the Prize given by the winner is located in a territory to which delivery of the Prize is not possible or is significantly impeded for reasons beyond Strikerz Inc. control, Strikerz Inc. shall contact the winner in order to arrange an alternative delivery location for the Prize. Strikerz Inc. (a publishing brand of XTEN Limited, a company incorporated under the laws of Cyprus) (the "Strikerz Inc.") sponsors the promotion - the UFL&Rabona Encounters draw (the “Draw”).

Prize
The Draw includes two (2) types of prizes (together – the “Prize”):

(b) one (1) Xbox Gift Card (approximate retail value – EUR 20.00).
The winners will be selected at random from all correct entries received during the Draw Period via a randomizer chosen at Rabona’s sole discretion.

OFFICIAL RULES OF EUROPEAN CHAMPIONSHIP 2024 PREDICTION CONTEST
XTEN Limited ("Publisher", "we", "us" and "our") will conduct the European Championship 2024 Prediction Contest (“Contest”) effectively as described in these official rules (the “Official Rules”).
By posting a comment, each participant (“Participant”, “you”, “your” and “yours”) agrees unconditionally to be bound by these Official Rules and the decisions of the Publisher, which are final and binding in all respects to the Contest.
1. Participation
No purchase or payment of any kind is necessary to enter the Contest.
To participate in the Contest, you should post a comment (“Entry”) on one of the three Publisher’s posts related to the Contest on the UFL Twitter Page, UFL Instagram Page, or UFL Facebook Page. In your comment, predict and list the four best teams at the European Championship 2024 in the correct order: (a) the 1st place, (b) the 2nd place, and (c) 2 (two) teams that will lose in the semi-finals and remain on the 3rd place.
You are permitted to publish only one Entry per social media channel (i.e., in total you may have three Entries – one per social media). Entries using multiple accounts in one social media channel owned by one person will be ineligible.
The Contest runs from 04 July 2024 (9:00 UTC) to 05 July 2024 (15:00 UTC). Entries submitted after this time will not be considered.
2. Eligibility
The Contest is only open to Participants who are at least as old as the minimum age of majority in the jurisdiction from which they enter the Contest. It is not open to employees of the Publisher and their families or anyone else professionally associated with this Contest. Eligibility to receive the Prize (defined below) is contingent upon fulfilling all requirements set forth in the Official Rules and in the relevant Publisher’s post related to the Contest on social media.
3. Prize
The prize is one (1) special set of the UFL in-game items and/or in-game currency, which content shall be determined at the Publisher’s own discretion (“Prize”).
The Contest includes nine (9) separate Prizes:
(a) three (3) Prizes for the best Entries on Twitter;
(b) three (3) Prizes for the best Entries on Instagram; and
(c) three (3) Prizes for the best Entries on Facebook.
The Prizes are non-transferable, non-refundable and no cash alternatives exist. The Prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, expressed or implied.
4. Winners
The nine winners will be selected at random from all correct Entries received during the Contest period at the Publisher’s own discretion.
The Contest results will be published on 16 July 2024 in the comments section of each Publisher's post related to the Contest on the UFL Twitter Page, UFL Instagram Page and UFL Facebook Page.
To receive the Prize, the winner is required to install the UFL game on his/her console system (including any and all items accompanying the game, such as an access key) and create a club in the UFL game. The Prize will be credited to the winner's club in the UFL game. The winners will be asked to provide their personal details as described in Section 6 below to receive their Prize.
If the Participants breach the provisions of these Official Rules or any other applicable rules (e.g. social media) regulating their participation in the Contest they will be disqualified from the Contest and lose the right to receive the Prize. In such a case, the Publisher has the right to redistribute the Prize among other Participants.
5. General.
The decision of the Publisher is final and binding in relation to all matters relating to this Contest and may not be subject to any discussions or correspondence.
The Publisher reserves the right at its absolute discretion to cancel the Contest and/or the Prize where circumstances outside of the Publisher’s control arise (including any acts or omissions from any third parties) which would prevent the Publisher from being able to deliver the Prize. The Publisher may to the extent that is reasonably necessary, vary or amend the Contest and/or the number and type of Prizes available (for a prize of equivalent or greater monetary value), and the Participant agrees that no liability shall attach to the Publisher as a result thereof.
To the fullest extent permitted by applicable law, the Publisher and its agents and/or commercial partners assume no responsibility and are not liable for: (i) the accuracy or otherwise of any Prize description or illustration; (ii) (where applicable) the non-availability, loss, late receipt or damage of any text or any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; (iii) (other than those warranties or conditions implied by the Official Rules and which cannot be excluded) any representation, warranty, condition or guarantee in respect of a Prize; (iv) any damage, loss, liabilities, injury or disappointment incurred or suffered by you accepting the Prize; or (v) any taxes, fees, charges or other costs which winners may be required to pay in connection with a Prize.
These Official Rules shall be construed and governed by the laws of the Republic of Cyprus, without regard to conflicts of laws principles. Any contractual or non-contractual dispute, controversy or claim arising out of or relating to these Official Rules shall be settled by arbitration in accordance with the CEDRAC Arbitration Rules. The Parties agree that: (a) the appointing authority shall be the CEDRAC court; (b) the number of arbitrators shall be one; (c) the place of arbitration shall be Nicosia, Republic of Cyprus; (d) the language to be used in the arbitral proceedings shall be English.
This Contest is in no way sponsored, endorsed or administered by, or associated with Twitter, Instagram or Facebook.

6. Personal Data Protection. By entering the Contest or receiving the Prize, you will provide certain personal information to the Publisher acting as a data controller, which may include your name, nickname and profile photo in social media, the name of your club in the UFL game or any other personal information required to organize, hold and assess the Contest, to award the Prize and make the award publicly available. Please refer to our Privacy Policy for more details on processing of your personal information by the Publisher.
UFL Closed Test and Confidentiality Agreement
This Closed Test and Confidentiality Agreement (the “Agreement”) is made and entered into by and between XTEN LIMITED (acting under publishing brand “Strikerz Inc.”), having its registered office at office 701, Archiepiskopou Makariou III, 169, CEDAR OASIS TOWER, 3027, Limassol, Cyprus (the “Publisher”); and You, an individual as entered below (“You”), separately referred to as the “Party”, and jointly as the “Parties”.
This Agreement sets forth the terms under which You are authorized to enter the closed test organized by the Publisher (the “Closed Test”) and get access to the yet to be released football simulation/management video game under the title “UFL” and all content in and related to the Game (the “Game”) for the purpose of evaluation, testing and providing Feedback (as defined below) (the “Purpose”).
YOU SHOULD CAREFULLY READ THIS AGREEMENT BEFORE ENTERING THE CLOSED TEST AND IN SUCH INSTANCE AS YOU DO NOT ACCEPT THE TERMS AND CONDITIONS SET FORTH UNDER THIS AGREEMENT, YOU ARE NOT AUTHORIZED TO ENTER THE CLOSED TEST AND/OR INSTALL OR USE THE GAME.
TERMS AND CONDITIONS
1. Closed Test Participation Requirements. By participating in the Closed Test, You agree that:
(a) You are 18 years of age or older and have the full legal capacity to accept this Agreement.
(b) Your access to the Game shall be limited to the period from when You install the Game and until when the Closed Test expires (unless the Publisher terminates it earlier or extends it for additional time).
(c) Your use of the Game shall be subject to the terms of the End User License Agreement. The terms of the Privacy Policy relating to the Game will also apply to You.
(d) You will not engage in any conduct determined by the Publisher, in its sole discretion, to be inappropriate and harmful, and You will not insult, offend, harass, or in any way hurt or damage other Closed Test participants.
2. Access to the Game. To participate in the Closed Test, You will need to install the Game on Your console system, including any and all items accompanying the Game, such as an access key (e.g. beta code or voucher). An access key can be used only once. You agree, warrant and guarantee that You will not provide the Game or access key to any other person or entity. Installation and Your use of the Game will require an Internet connection.
3. In-Game Content and Virtual Currency. The Closed Test may include Your use of virtual currencies within the Game (the “Virtual Currency”). Such Virtual Currency will be offered to You by the Publisher free of charge. When You obtain this Virtual Currency, You receive a limited, non-exclusive, non-assignable, revocable license to access and select the in-Game products, services, content, characters, or assets (the “In-Game Content”) which the Publisher makes available in the Game during the Closed Test. Your use of the Virtual Currency and the In-Game Content shall also be subject to the terms of the End User License Agreement.
The Publisher reserves the right to reset, modify, or update the Game, its settings, features, Virtual Currency, In-Game Content, achievements, and/or progress You obtained while participating in the Closed Test, at any time during the Closed Test without notice to You. Additionally, You agree that these items may not be accessible after the Closed Test ends, or after release of the Game.
4. Evaluation and Feedback. You agree and acknowledge that Your participation in the Closed Test is voluntary and does not constitute an intention of any employment relationship, association, partnership, or joint venture between You and the Publisher. In connection with the Closed Test, You may be asked by the Publisher to provide feedback, evaluations, suggestions, commentary, ideas, and other statements either in oral, written or any other form (the “Feedback”) from the perspective of an end user consumer concerning the Game, its features, and In-Game Content. The Publisher relies on Your good faith, honest and ethical behavior when evaluating the Game and providing the Feedback.
You acknowledge that all Feedback is original, voluntary, and shall become the property of the Publisher, and further used by the Publisher for any purpose. You hereby irrevocably assign and transfer (by way of future assignment and transfer where necessary) to the Publisher, without separate compensation, all right, title and interest in such Feedback throughout the world in all mediums now known or hereafter invented free of any encumbrances or liens. You waive and release any claim regarding moral, personal, publicity or other similar rights which You may have regarding the Feedback anywhere in the world. To the extent that the Publisher cannot claim exclusive ownership rights in the Feedback by operation of law or pursuant to the assignment set above, You grant the Publisher a perpetual, irrevocable, worldwide, exclusive, royalty-free, transferrable, sublicensable right and license to use the Feedback for any purpose in any Publisher’s product or service, in all formats and mediums, whether existing now or in the future, and in any languages and media, without Your further approval or acknowledgement. All Feedback will be the Confidential Information of the Publisher (as determined in Section 5 of this Agreement).
You agree and acknowledge that You will neither be paid any compensation, nor receive a benefit of any kind now or in the future with respect to Your participation in the Closed Test, evaluation of the Game and/or use of Your Feedback by the Publisher.
5. Confidentiality. As part of the Closed Test the Publisher will provide You with access to and disclose to You Confidential Information (as defined below) that the Publisher wishes to maintain confidential. The term “Confidential Information” shall mean all information relating to the Closed Test, the Game, any other Publisher’s products and services, and/or the Publisher or any of its group companies’ business, that is disclosed or made available (directly or indirectly) by the Publisher to You, whether in writing, verbally or otherwise, whether or not designated as Confidential Information. Confidential Information includes but is not limited to: (a) the Game (including but not limited to information and ideas relating to the Game, software, source and/or object code, technology, data, know-how, inventions, processes, specifications, designs, graphics, audio, audiovisual, text, rules, gameplay, mechanics, strategies, formulae, look and feel, user interface, artwork, photographs, visual depictions, plot, theme, settings, characters, characterizations, skills, pricing, financial information, marketing, research, and product plans; current, future or proposed products or services, prototypes, samples, manuals, written or other materials and documentation); (b) Feedback from You, other Closed Test participants, or the Publisher’s employees, and all other information relating to the Closed Test (including but not limited to questionnaires, testing protocols, processes and standards relating to the Game or associated Publisher’s products or services, analyses, summaries, suggestions, interpretations and other materials prepared by You, marketing and other emails), and (c) information otherwise reasonably expected to be treated in a confidential manner under the circumstances of disclosure under this Agreement or by the nature of the information itself.
You must use Confidential Information solely for the Purpose and in strict compliance with the provisions of this Agreement. You shall: (a) hold Confidential Information in strict confidence and not disclose or reveal it to any third party without the Publisher’s prior written permission. In particular, You are not allowed to stream, publish screenshots or video footage, disclose any part of the Game or its elements, nor talk about the Game outside the closed Discord channel or UFL Bug Reporting Portal as specifically designated by the Publisher or with anyone associated with a competing videogame, any videogame publisher or developer, any news or information service, blog, channel or in any online forum or chat room; (b) not copy or summarize (unless required for the Purpose) and keep all reasonable controls over any copies; (c) not modify, alter, reproduce, create derivative works from, decompile, reverse engineer, disassemble, hack or otherwise interfere with, any Confidential Information or any part of it except as expressly permitted by the Publisher for the Purpose; and (d) promptly notify the Publisher of any unauthorized use or disclosure, or suspected unauthorized use or disclosure, of Confidential Information of which You become aware and cooperate with the Publisher to protect all proprietary rights in and ownership of the Confidential Information.
This Agreement imposes no obligations with respect to information which, as can be shown by documentary evidence: (a) is in the public domain at the time of disclosure by the Publisher; (b) becomes publicly known after the time of disclosure by the Publisher through no fault of Yours; (c) is rightfully in Your possession from a third party that shall not be obliged to keep it secret; or (d) is developed by You independently without use of or reference to Confidential Information.
You understand and agree that all rights, title, and interest in and to the Confidential Information shall be, and shall remain, vested in the Publisher. You do not acquire any intellectual property rights or any other rights under this Agreement except the limited rights to use the Confidential Information for the Purpose.
6. Term and Termination. This Agreement shall commence on the date You accept this Agreement and continue in full effect until the Publisher terminates it or the Closed Test ends, whichever occurs first. Irrespective of any termination or expiration of this Agreement, Your obligations with respect to Confidential Information under this Agreement expire 1 (one) month following the Game’s release date (except with respect to any trade secrets where such obligations will expire in 5 (five) years following the Game’s release date).
The Publisher may terminate this Agreement, Your participation in the Closed Test and Your access to the Game at any time, without notice, for any reason whatsoever.
Upon termination of this Agreement, or termination/cancellation of the Closed Test, or at the end of the Closed Test, whichever occurs first, You shall immediately cease all use of the Game and other Confidential Information, and, at the Publisher’s request, return to the Publisher or destroy any and all copies of the Confidential Information delivered to You.
The provisions of this Agreement that ought to survive expiration or termination of this Agreement by their nature shall survive such expiration or termination, including without limitation Sections 4-10 shall remain in full force and effect.
7. NO WARRANTY. YOU ACKNOWLEDGE THAT THE GAME IS NOT THE FINAL PRODUCT, IT IS PROVIDED “AS IS” AND WITH ALL FAULTS, ERRORS, AND DEFECTS, AND WITHOUT ANY WARRANTY (EXPRESS OR IMPLIED). YOU MAY EXPERIENCE OCCASIONAL CRASHES AND DATA LOSS AND SOME GAME FEATURES MAY NOT WORK CORRECTLY. YOU AGREE THAT ANY USE OF THE GAME SHALL BE ENTIRELY AT YOUR OWN RISK AND THE PUBLISHER SHALL IN NO EVENT BE LIABLE FOR ANY DAMAGES.
YOU AGREE THAT THE PUBLISHER IS NOT LIABLE FOR NOR HAS CONTROL OVER YOUR ACTIONS; YOUR ACCOUNT; OR ANY LOSS OF DATA, IN-GAME CONTENT, FUNCTION OR UTILITY RELATED TO THE GAME DURING THE CLOSED TEST; OR ANY BEHAVIOR OF OTHER CLOSED TEST PARTICIPANTS.
8. Privacy Notice. The Publisher, acting as a controller, shall collect and process Your personal data, such as your full name, residential and email address, Discord ID, data from your gaming console, including information about Your device (e.g. IP address), information about Your Closed Test gameplay and Game usage statistics, system interactions and peripheral hardware for the purpose of entering into this Agreement, running the Closed Test, collecting Your Feedback, serving You with the information on the Game development and release process. The Publisher also reserves the right to ask for Your ID for the purpose of Your age verification.
The Publisher shall retain Your personal data for the duration of the Closed Test and for 1 (one) year following the Game’s release date. Your in-Game ID shall be retained as long as You play the Game to recognize the prizes and bonuses You have earned during the Closed Test. You are also invited to learn more information on how the Publisher processes Your personal data in its Privacy Policy relating to the Game.
9. Remedies. If there is a breach or threatened breach of this Agreement, monetary damages may be an insufficient remedy for the harm suffered by the Publisher and therefore the Publisher may seek equitable relief (including injunctive relief and/or specific performance) as well as monetary damages against You, in addition to any other remedies it might have at law.
10. Governing Law and Dispute Resolution. This Agreement shall be construed and governed by the laws of the Republic of Cyprus, without regard to conflicts of laws principles. Any contractual or non-contractual dispute, controversy or claim arising out of or relating to this Agreement shall be settled by arbitration in accordance with the CEDRAC Arbitration Rules. OFFICIAL RULES OF UFL OPEN BETA CONTEST
XTEN Limited ("Publisher", "we", "us" and "our") will conduct the UFL Open Beta Contest (“Contest”) effectively as described in these official rules (the “Official Rules”).
By downloading, creating a club and playing the UFL game during the UFL Open Beta weekend, each participant (“Participant”, “you”, “your” and “yours”) agrees unconditionally to be bound by these Official Rules and the decisions of the Publisher, which are final and binding in all respects to the Contest.
1. Participation
No purchase or payment of any kind is necessary to enter the Contest.
To participate in the Contest, you should download, create a club and play a minimum of ten matches in the UFL game during the UFL Open Beta weekend (“Entry”). You are permitted to create only one club per one console account.
The Contest runs from 07 June 2024 (15:00 UTC) to 09 June 2024 (20:59 UTC). Entries submitted after this time will not be considered.
2. Eligibility
The Contest is only open to Participants who are at least as old as the minimum age of majority in the jurisdiction from which they enter the Contest. It is not open to employees of the Publisher and their families or anyone else professionally associated with this Contest. Eligibility to receive the Prize (defined below) is contingent upon fulfilling all requirements set forth in the Official Rules and in the relevant Publisher’s post related to the Contest on social media.

The Contest results will be published on 11 June 2024 in the comments section of each Publisher's post related to the Contest on the UFL Twitter Page, UFL Instagram Page, and UFL Facebook Page.
The winners may be asked to provide their personal details as described in Section 6 below to receive their Prize.
